Company Name Change

Changing a registered company name is a five-step MCA process with a 60-day clock in the middle. Missing that window means paying for the name reservation twice.

The five steps, in order

Board meeting

The board approves the proposed name and calls a general meeting. Nothing can be filed before this exists on paper.

Reserve the name (RUN)

One or two proposed names go to the MCA through the Reserve Unique Name service. The fee is Rs 1,000 and it is not refundable if the name is rejected — which is why the name check before filing matters more than the filing itself.

Special resolution

Members pass a special resolution at a general meeting to alter the name clause in the memorandum and articles. Special means at least 75% of the votes cast, not a simple majority.

File MGT-14

The special resolution is filed with the Registrar in MGT-14 within 30 days of the meeting. Late filing here carries additional fees and can hold up the next step.

File INC-24

This is the application for Central Government approval, and it must quote the SRN of the approved RUN and of the filed MGT-14. On approval the Registrar issues a fresh certificate of incorporation in INC-25.

The clock people miss

An approved name is reserved for 60 days. If INC-24 is not filed inside that window, the reservation lapses and you start again with a fresh RUN application and another Rs 1,000 — and there is no guarantee the name is still free the second time.

Sixty days sounds generous until you count what has to happen in it: convene the meeting with proper notice, pass the resolution, file MGT-14 within its own 30 days, then prepare and file INC-24. Companies that treat the RUN approval as the finish line rather than the starting gun are the ones who pay twice.

After the certificate arrives

The new certificate is the legal change, not the end of the work. Your old name stays live in a dozen places until you go and change it, and some of those matter more than others.

  • Bank accounts — until updated, payments in your new name can bounce back
  • GST registration — needs an amendment; the name on your invoices and your GST record have to agree
  • PAN and TAN — the PAN number stays the same, the name on it does not update by itself
  • Licences and registrations — FSSAI, trade licence, MSME, IEC, PWD or GeM enrolment, each on its own portal
  • Letterheads, invoices, board and signage — the Companies Act requires the former name to be displayed alongside the new one for two years

Common questions

No, and this is where most applications fail. The name must not be identical or too similar to an existing company or a registered trademark, and certain words need specific approval. We run the check across both the MCA and trademark databases before spending the Rs 1,000, because a rejected RUN is money gone.

Yes. The CIN encodes the name, so a new one is issued with the fresh certificate. The PAN and TAN numbers stay the same — only the name on them needs updating.

Usually a few weeks end to end when the paperwork is clean, with most of it waiting on approvals rather than on drafting. Companies with overdue annual filings are the exception — those tend to get held up until the backlog is cleared.
