LLP Annual Filing - Form 8 and Form 11
An LLP files two forms a year, on two different dates. The late fee has no upper limit, which is what makes ignoring it so expensive.
Two forms, two deadlines, one very expensive mistake
Every LLP registered in India files two annual forms with the Registrar, whether or not it did any business that year. A dormant LLP with no transactions files exactly the same forms as a trading one.
Form 11 is the annual return — the partners, their contributions, the basic state of the LLP. Form 8 is the statement of account and solvency — the financial position and a declaration that the LLP can pay its debts. They are separate filings with separate dates.
The reason this matters more than for a company: the LLP late fee has no ceiling. A company's late filing fee is capped. An LLP's runs at Rs 100 per day, per form, and keeps running. An LLP that stopped filing three years ago is not looking at a modest penalty — it is looking at a figure that grew every single day since, on both forms.
What happens when it is ignored
- The fee compounds daily and does not stop. Two forms, Rs 100 each per day. Three years of silence is over two lakh before anyone has looked at the accounts.
- Designated partners are personally exposed. The obligation sits on them, not on an abstract entity.
- The LLP cannot be closed cleanly. Striking off requires the filings to be up to date, so an LLP nobody uses any more still has to be brought current before it can be shut — a fact that surprises people who assumed abandoning it was an option.
- Banks and buyers ask. Any due diligence pulls the MCA record, and a gap in filings is visible to anyone who looks.
