No. Returns remain due and late fees accrue per day per return until the registration is formally cancelled.

Is a final return needed after cancellation?

Yes. A final return is due after cancellation, and missing it leaves the matter open even though the registration has ended.

Can I cancel with pending returns?

Pending returns generally have to be filed before cancellation is accepted, so clearing them is part of the process.

Why it takes longer

An Indian certifying authority has to verify identity, and for someone outside India that verification runs on different documents — passport, overseas address proof, and usually notarisation or apostille depending on the country.

Apostille in particular is not quick. It happens in the applicant's own country, on their timeline, and it is the single most common reason a foreign director's incorporation slips.

So the sequence matters: start the document side first, and treat the certificate itself as the fast part.

Why the verification is the hard part, not the certificate

The certificate itself is ordinary. What is different for a foreign national or non-resident is establishing identity without an Aadhaar-based verification, and that is where the time goes.

In practice it means documents that have been attested or apostilled in the right way, a passport-based verification, and often a video process that has to be scheduled across time zones. Each of those is straightforward on its own; together they are why this takes days rather than hours, and why starting the week before an incorporation deadline is a bad plan.

The most common avoidable delay is attestation done in the wrong form — notarised where an apostille was needed, or apostilled in a country that is not the one that issued the document.
